Welcome to AXESS. These Terms of Service ("Terms") are a binding agreement between you and AXESS RE LLC ("AXESS," "we," "us," or "our"), which operates the AXESS network at axessre.com and related services (the "Service"). By requesting access to, creating an account on, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
AXESS is a private, invite-only network that lets licensed real estate agents share off-market and pre-market property opportunities with one another. AXESS is a venue and communication tool only. AXESS is not a multiple listing service (MLS), a real estate brokerage, a party to any transaction, and does not represent any buyer, seller, or agent. We do not list, market, sell, broker, appraise, or negotiate property, and we do not earn commissions on any deal. Any transaction, agreement, showing, referral, or commission arrangement is solely between the members and their clients.
To use the Service you must:
Membership is a revocable privilege, not a right. Access is granted at our sole discretion. We may refuse, suspend, or permanently remove any member from the network at any time, with or without cause and with or without notice, at our sole discretion. When we are granting access based on your certification that you are licensed, we may — but are not obligated to — independently verify your license, and we may remove you if that certification is or becomes untrue.
You are responsible for maintaining the security of your account and for all activity under it. AXESS access is personal to you. You may not share, sell, transfer, or provide your login or the contents of the network to any non-member, including other agents at your brokerage who are not members. You agree to notify us promptly of any unauthorized use of your account.
You agree that you will not:
Violation of this section is grounds for immediate suspension or termination without refund, in addition to any other remedies available to us.
You are solely responsible for the content you post, including listings, property details, pricing, photos, and buyer needs ("Member Content"). You represent that you have the right and authority to post it and that it is accurate and lawful. AXESS does not verify, endorse, or guarantee the accuracy, availability, legality, or quality of any Member Content or any property. You are responsible for conducting your own due diligence before acting on anything you find on the Service.
You retain ownership of your Member Content. You grant AXESS a non-exclusive, worldwide, royalty-free license to host, store, display, and transmit your Member Content to other members and as needed to operate and improve the Service. You grant other members permission to view Member Content you choose to share within the network, subject to the permissions and confidentiality controls the Service provides.
Off-market and pre-market information shared on AXESS is confidential and intended only for members within the network. You agree to treat listings and member information as confidential, to use them only for legitimate real estate purposes within the scope of the network, and not to disclose them to non-members except as necessary to serve a bona fide client and consistent with any restrictions set by the posting member.
Founding members may join at no charge during our launch period. Our current pricing model is: the first 100 members join free; once we reach 100 members, founding members lock in a rate of $25/month for life, and members who join after the first 100 pay $50/month. We will always give you advance notice by email before any charge begins, and you may cancel before any paid billing starts. Fees, when they apply, are billed in advance and, except where required by law, are non-refundable. We may change our pricing prospectively with notice; changes do not affect a founding rate that has already been locked in.
By creating an account you consent to receive emails from AXESS that are necessary to operate the Service, including sign-in links, account notices, and deal alerts. We may also send periodic updates and announcements; you can unsubscribe from marketing emails at any time using the link in those emails. See our Privacy Policy for details.
The Service relies on third-party providers (for example, for hosting, email delivery, sign-in, and bot protection). Your use of those features may also be subject to the third parties' terms. We are not responsible for third-party services.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY LISTING OR MEMBER IS ACCURATE, LICENSED, OR TRUSTWORTHY. AXESS DOES NOT PROVIDE LEGAL, TAX, FINANCIAL, OR REAL ESTATE BROKERAGE ADVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXESS AND ITS OWNERS, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST DEALS, OR LOST DATA, ARISING OUT OF OR RELATING TO THE SERVICE OR ANY TRANSACTION OR INTERACTION BETWEEN MEMBERS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You agree to indemnify and hold harmless AXESS and its owners, officers, and agents from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of your use of the Service, your Member Content, your transactions or dealings with other members or their clients, or your violation of these Terms or applicable law.
You may stop using the Service and cancel your account at any time. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms, provided false information, or created risk for AXESS or other members. Sections that by their nature should survive termination (including Sections 5–6 and 10–15) will survive.
We may update these Terms from time to time. If we make material changes, we will provide notice by email or through the Service. Your continued use after the changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Suffolk County, Massachusetts have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction there.
